Mr. Sharhan Muhseen was appointed as an Independent/Non-Executive Director in February 2021 and as the Deputy Chairman of the Bank in March 2022. He is also the Chairman of CBC Finance Ltd, a subsidiary of Commercial Bank. In addition, Mr Muhseen is the Chairman/ Director of Platinum Advisors Pte Ltd, a Board member of H2O One Pte Ltd, Director of Gestetner Ceylon PLC and David Pieris Holding (Pvt) Ltd. He is the Deputy Chairman of Amana Takaful Life PLC and also an Independent/ Non-executive Director of PCCW Limited, Hongkong.

Mr Muhseen is a senior Investment Banker with extensive experience in the areas of Mergers and Acquisitions, Corporate Finance and Capital Markets. He has served in a senior capacity working with company boards and senior leadership teams of financial institutions across Asia to help drive their Strategic Corporate Agenda and Roadmap. He previously worked in best-in-class global investment banks, Credit Suisse, Bank of America Merrill Lynch and JPMorgan in leading regional coverage roles.

Mr Muhseen’s most immediate previous role was as Managing Director, Head of South East Asia Financial Institutions Group (FIG) and Head of Asia Insurance at Credit Suisse based in Singapore. In his Investment Banking career spanning over 20 years, Mr Muhseen has completed landmark mergers and capital raising transactions in excess of USD 100 billion. The Asia FIG sectors team at Merrill Lynch and Credit Suisse has won the “FIG Asia House of the Year” awards from the Asset magazine for several years under his leadership. Multiple transactions he led have been awarded as best country deals and best financial sector capital raise transactions.

He is credited with several leading research reports including reports on Banking sector efficiency, currency depreciation and budget deficit in his role as Head of Sri Lanka Banking sector research coverage and lead Economist at Jardine Flemming. He worked at Standard Chartered Bank in the Corporate Banking Division, where he started out as a Management Trainee and at Rodman and Renshaw stock and commodities broker based in Chicago. He has also acted as senior advisor for TPG and BNP Paribas.

Mr Muhseen has experiences at the policy level working as a Team Leader at the National Council for Economic Development (NCED) under the Ministry of Finance as well as a Director at the Task Force to Rebuild the Nation (TAFREN), Presidential Task Force for rebuilding the economy after the 2004 Tsunami. He holds a Masters in Economics from the University of Colombo and a Bachelor of Business Administration (Hons) from Western Michigan University. He has completed the Corporate Finance training program with JPMorgan in New York and board leadership training from the Singapore Management University.

Mr Raja Senanayake was appointed as an Independent/Non-Executive Director in September 2020. He is a Fellow Member of CA Sri Lanka with over 30 years of post-qualifying experience and holds a B.Com. (Special) degree from the University of Sri Jayewardenepura with a second-class upper division pass and a Postgraduate Diploma in Business Management from the PIM of the University of Sri Jayewardenepura. Having completed his articles at Ernst & Young and qualifying as a Chartered Accountant, he joined Singer Industries (Ceylon) PLC in 1991 as the Financial Accountant. In 1994, Mr Senanayake joined Commercial Bank of Ceylon PLC as the Senior Manager Finance and worked for 13 years and was the Assistant General Manager (Finance & Planning) when he resigned. He also served as the Chief Financial Officer at the Nations Trust Bank PLC.

He works at Smart Media (Pvt) Ltd – The Annual Report Company, and currently heads the Smart Academy, an IFRS Accredited Training Partner.

In August 2023, Mr Senanayake assumed the role of the Chairman at Senkadagala Finance PLC, where he was an Independent / Non-Executive Director since April 2017. He is a Director of Virtual Capital Technologies (Pvt) Ltd., a software development company that caters to the New Zealand and the Australian markets, since August 2017. He is an Advisor to Unicorn Hatch Limited, a SaaS AI-powered applications builder incorporated in New Zealand, with effect from March 2024.

Mr Senanayake is passionate about and possesses extensive domain knowledge on the financial services industry, financial management and corporate reporting in particular, including such aspects as risk management, capital management, corporate governance, compliance, sustainability and integrated reporting. Besides many other local and overseas training programmes, he has undergone training on banking and finance with Euromoney and on general management with the National University of Singapore.

Mr Manatunge joined Commercial Bank in 1989. He held the position of Chief Risk Officer of the Bank, prior to assuming duties as the Deputy General Manager Corporate Banking. Under Mr Manatunge, the Corporate Banking Division of the Bank experienced rapid growth in the loan book and in areas such as Trade Finance fee-based income while maintaining the quality of advances.

Mr Sanath Manatunge is a director of the Bank’s Maldivian subsidiary – Commercial Bank of Maldives and Bank’s IT subsidiary, OneZero Company Ltd.

A Fellow of the Chartered Institute of Management Accountants, UK (FCMA) and a Chartered Global Management Accountant (CGMA), Mr Manatunge has a Master of Business Administration (MBA) degree from the University of Sri Jayewardenepura. He is also a Fellow Member of the Institute of Bankers – Sri Lanka and a Fellow of the Institute of Certified Management Accountants of Sri Lanka. Mr Manatunge was instrumental in forming the Association of Banking Sector Risk Professionals, Sri Lanka and was its President in 2014. He has also served as a Council Member of the Association of Professional Bankers (APB) and as a member of the CIMA Thought Leadership Commitee.

He was also adjudged the “Chief Information Security Officer of the Year” at the EC- Council Global CISO Forum held in Atlanta – USA in September 2013 in recognition of his outstanding contribution in strengthening and promoting information security practices.

Ms Judy Lee is a pioneer and leading expert in quantitative risk management and its applications to strategy. She has over 30 years of experience as a banker, capital markets expert and partner in management consulting firms serving CEOs and Boards in US and Asia.

Ms Lee is currently Managing Director of Dragonfly LLC which she co-founded in 2000. The New York based consulting firm provides strategy, risk management and investment advice to Boards, CEOs, CFOs, Business heads in US, Europe and Asia, covering all sectors, corporates, financial institutions and governments.

She is also CEO of Dragonfly Capital Ventures (DFC) which she founded in 2009. DFC develops and invests in renewable energy in South East Asia. DFC also develops investment pipeline in the US for Asian clients.

She currently serves on the Board of Directors of Temasek Life Sciences Accelerator and is an Entrepreneur-in-Residence. She is on the Board of Overseers of NYU Stern School of Business. Ms Lee has served as Board Director of Solar Frontier, a renewable energy subsidiary of Japan-listed Showa Shell Sekiyu.

Ms Lee is co‐author of the books “What Every CEO Must Know About Risk” and “RAROC and Risk Management”.

She was an Adjunct Professor at Singapore Management University where she developed and taught Enterprise Risk Management for 10 years. She has also taught Risk Management at Columbia University, New York.

Prior to Dragonfly, Ms Lee was a key member of the pioneering team that developed quantitative risk methodology at Bankers Trust in the late 1980s. She ran the bank’s daily global risk quantification and reporting. She also worked on derivatives and other capital markets products and was risk manager reporting to the President for BT Securities.

Ms Lee holds an MBA from the Wharton School

Mrs. Thushara Wijewardena is a corporate executive with a proven track record in the IT industry both locally and internationally. She has been serving in various senior positions in the industry for many years gaining diverse experience in providing technology solutions for high tech startups to large multinational businesses in the world.

Mrs. Wijewardena is currently the Chief Executive Officer of Aventude (Pvt) Ltd. (‘Aventude’), which she co-founded in 2018. Aventude is a technology strategic consultation & solutions company based in Colombo and Stockholm with specialization in solving business problems using technology in an end–to–end spectrum.

She also serves as the Vice Chairperson of the Cabinet approved national initiative, Women’s Chamber for Digital Sri Lanka (WCDSL), an initiative to uplift women participation in the digital economy of Sri Lanka through ICT education, career empowerment and supportive policies.

Mrs. Wijewardena gained her board executive education at Harvard Business School, and also earned strategy certification for game-changing organizations and artificial intelligence in impact for business strategies from Massachusetts Institute of Technology, Sloan School of Management.

Dr. Selliah holds an MBBS degree and a Master’s Degree (M.Phil). He has over two decades of diverse experience in varied fields including Manufacturing, Healthcare, Insurance, Logistics, Packaging, Renewable Power, Plantation, Retail etc. He serves on the Boards of many public listed and private companies.

Dr. Selliah is currently the Deputy Chairman of Asiri Hospital Holdings PLC, Asiri Surgical Hospital PLC and Central Hospitals Private Ltd. He is also a Director of Lanka Tiles PLC, HNB Assurance PLC, Softlogic Holdings PLC, Lanka Walltiles PLC, ACL Cables PLC, Odel PLC, Swisstek (Ceylon) PLC and Swisstek Aluminium (Pvt) Ltd. In addition, Dr. Selliah is also the Chairman of JAT Holdings PLC, Vydexa (Lanka) Power Corporation (Pvt) Ltd. and Cleanco Lanka (Pvt) Ltd. He has also served on many other Boards in the past. Currently, he also serves on many Board Sub Committees of some of the companies listed above as the Chairman or a Member.

Dr. Selliah has served as a Senior Lecturer in the Faculty of Medicine, University of Kelaniya for many years in the past and served on several committees. He has also been the Head of the Department of Physiology for many years during his tenure at the Faculty.

Mr. Sellathurai Prabagar is a senior banker with over 26 years of diversified banking experience with Commercial Bank and was appointed as Chief Operating Officer and Executive Director from 12th May, 2022.

He has served as branch manager of mid-sized and larger branches in Colombo, performed as Chief Operating Officer and Country Manager of the bank’s Bangladesh Operations, provided leadership to internal audit function of the bank as the head and Assistant General Manager, spearheaded the bank operations as the Assistant General Manager in charge of Operations and led corporate banking as the Deputy General Manager, which was the last position held by him before taking up this responsibility.

Having turned around the branches he managed to greater performance, he contributed and was instrumental in bringing up Bangladesh Operations from a two branch two booth operation to a 19-branch operation, the 3rd highest profitable bank next only to SCB and HSBC out of 10 foreign banks, which also contributed around 15% of the overall bottom line of Commercial Bank. Under his leadership, operations in Bangladesh earned AAA credit rating by the leading credit rating agency CRISL.

He currently serves as non-executive director at the Board of CBC Technologies Ltd, a fully owned subsidiary of the bank. Mr. Prabagar has served as the Chairman of Roadmap Committee appointed by Central Bank (CBSL) on implementation of Blockchain technology in Sri Lanka. He represented the bank at National Payment Council meetings at CBSL. He also functioned as the bank’s Ombudsman in resolving customer complaints with the Financial Ombudsman of the country. He was the representative of the bank to BTAC (Bankers Technical Assistance Committee) appointed by Bankers Association of Sri Lanka, to take up operational issues faced by banks.

He served in the panel of lecturers for the Post Graduate Diploma in Bank Management offered by Institute of Bankers (IBSL) and carried out lectures over 4 years. He was Secretary to Bangladesh-Sri Lanka Chamber of Commerce and Industry, actively promoting trade and investment between the countries.

Mr. Prabagar holds an MBA in Banking from University of London, is an Associate of Institute of Bankers (AIB – SL), and holds a B.Com from Bharathidasan University in India.

He is fully qualified in CIMA (Chartered Institute of Management Accountants – UK), and CISA (Certified in System Audit – USA), also holding a diploma in System Security and Control Audit (DISSCA – CASL).

Mr. D N L Fernando is a Professional Banker, who retired from active service in the banking sector in August 2020. In his career spanning over 33 years at the Bank of Ceylon (BoC), he has played many prominent roles in the Recoveries Department and the Product Development Banking Unit where he had initiated a number of noteworthy innovative liability and asset products.

His most immediate previous role was as the Chief Risk Officer (Deputy General Manager) of BoC, which he held for more than four and a half years until his retirement in August 2020. Under his guidance as the Chief Executive Officer/Director of Bank of Ceylon (UK) Ltd., London for 3 years, he played a key role in successfully redirecting the BoC (UK) for a strategic turnaround.

Mr. Fernando is currently the General Manager of Ceybank Holiday Homes (Pvt) Ltd., a subsidiary of BoC Travels (Pvt.) Ltd., and Property Development and Management (Pvt.) Ltd., a subsidiary of BoC.

He holds a Bachelor of Science (Hon.) degree from the University of Colombo and served briefly in the Academic Staff of the (then) Batticaloa University College and, under the Ministry of Education, as an Education Officer in the Sri Lanka Education Service before joining the Bank of Ceylon in 1986.

In 1998, Mr. Fernando became an Associate Member of Institute of Bankers of Sri Lanka. He has vast experience in branch banking, customer service and Corporate/Retail credit in rural and urban branches for over 14 years and training/exposure in international and treasury operations, which he gained during his service at the Bank of Ceylon London branch and as a member of expatriate staff at the Bank of Ceylon Karachi branch (now closed) in Pakistan. He has also managed 70 BoC branches for 4 years as the Assistant General Manager in charge of the Western Province South (Largest Administrative Region of BoC then), before taking up the assignment at Bank of Ceylon (UK) Ltd. as the CEO/Director in late 2012.

Mr. Palitha Kumarasinghe is a Senior President’s Counsel specialized in civil and commercial matters. Mr. Kumarasinghe enrolled as an Attorney at Law of the Supreme Court of Sri Lanka and was appointed as a President’s Counsel with effect from 7th July 2006.

Mr. Kumarasinghe is the Counsel for several state and private banks and finance houses. He has wide experience in Debt Recovery and is a regular speaker in Banking and Debt Recovery Law and many other corporate law subjects in National Law Conferences, Junior National Law Conferences and legal education programmes conducted by the Bar Association of Sri Lanka, the Association of Corporate Lawyers, Sri Lanka and the Colombo Law Society.

Mr. Kumarasinghe was a Vice President of the Bar Association of Sri Lanka (2003-2005) and the President of the Colombo Law Society (2003-2005). He has been a Member of the Bar Council of Sri Lanka for the past 35 years and presently, he is a member of the Executive Committee of the Bar Association of Sri Lanka.

Mr. Kumarasinghe was a Member of the Advisory Commission on Intellectual Property established under the Code of Intellectual Property Act and the Intellectual Property Act. He was also a Member of the Working Committee to solve Problems of Laws’ Delays appointed by the Minister of Justice and Judicial Reforms (2009 – 2014) and the Chairman, Environmental Council established under the National Environment Act.

He was a Member of the Incorporated Council of Legal Education, controlling body of Sri Lanka Law, a Member of the Committee appointed by Hon. Minister of Sports to Draft Sports Regulations, a Member of the Sports Developments Advisory Committee appointed by Hon. Minister of Sports, the Chairman of the Media License Reform Law Committee appointed by Hon. Minister of Media, and the Chairman of the Committee appointed by the Cabinet of Ministers and the Public Service Commission to study the existing Medical Service Minute and to propose solutions to the problems existing in the Medical Administration Grade. Mr. Kumarasinghe is presently the Chairman of the Rent Law Reform Committee, Ministry of Justice, the Chairman of the Banking and Finance Law Reform Committee, Ministry of Justice, and the Co-Chair of the Apartment Ownership Law Reform Committee, Ministry of Justice, appointed by Hon. Minister of Justice. Mr. Kumarasinghe is also the Chairman of the Standing Committee on Legal Studies of the University Grants Commission.

Mr. Kumarasinghe served as an Independent/Non-Executive Director of Laugfs Gas PLC from 2012 to 2017 and Nawaloka Hospitals PLC from March 2016 to June 2022.

Mr. Kumarasinghe was a member of Public Service Commission of Sri Lanka from 10th April 2006 to 9th April 2009 (1st Term) and from 13th May 2011 to 12th May 2014 (2nd Term). He is presently a Member of the University Grants Commission of Sri Lanka from February 2020 and a Member of the Law Commission of Sri Lanka from 2020.

Mr. Yohan Perera is a Chartered Accountant by profession and retired from the position of the Managing Partner of KPMG Sri Lanka and Maldives on 31st March 2023. He counts over 40 years of experience in audits of conglomerates and listed companies with diversified business interests.

He served as a Partner at KPMG Sri Lanka and Maldives for 33 years. During this period, he also served the firm as the Head of HR, Risk Management Partner and Chief Operating Officer before being appointed as the Managing Partner of the firm. He served on the KPMG Middle East & South Asia Board during his tenure as the Managing Partner of the firm.

Mr. Perera is a Fellow Member of the Institute of Chartered Accountants of Sri Lanka (FCA) and of the Chartered Institute of Management Accountants (FCMA) – UK.

Mr. Perera served as the President of the Institute of Chartered Accountants of Sri Lanka during the years 2006 and 2007 and was a former Chairman of the Sri Lanka Auditing Standards Committee. He also served as a Board Member of the Confederation of Asian and Pacific Accountants (CAPA), one of four Regional Organizations (ROs) recognized by the International Federation of Accountants (IFAC).

He has also served as a Member of the Securities & Exchange Commission of Sri Lanka, the Monetary Policy Consultative Committee of the Central Bank of Sri Lanka, the Governing Council of the Post Graduate Institute of Management of the University of Sri Jayewardenepura and as a Consultant to Audit Committees of listed companies.

Mr. Perera currently serves as an Independent / Non-Executive Director on the Boards of Hayleys PLC, Haycarb PLC, Dipped Products PLC, E. B. Creasy & Co. PLC and Overseas Realty (Ceylon) PLC.

Ms.Parakrama is a highly accomplished professional with extensive experience in corporate communication, financial services, and corporate governance.

Ms. Parakrama's distinguished career in the banking sector includes over 27 years of experience in corporate and retail banking at prominent international institutions. She served at Standard Chartered Bank, Singapore in various leadership capacities, including Regional Head, Internal Communications for Southeast Asia and Head of Sustainability, Brand and Sponsorship. ln Sri Lanka, her roles at Standard Chartered Bank included Head of Corporate Affairs, Head of priority Banking, and Head of Cash Management. Her banking experience also extends to key positions at Amro Bank, American Express Bank, and Societe Generale Bank.

Ms. Parakrama, a seasoned executive with an exceptional ability to navigate complex corporate environments, previously held the position of Group Head of Corporate Communication for the David Pieris Group. She demonstrated exceptional leadership by serving as Non-Executive Chairman of several key entities within the David Pieris Group, including Assetline Insurance Brokers (Pvt) Limited, Assetline Capital (Pvt) Limited, Assetline Securities (Pvt) Limited, and Assetline Corporate Services (Pvt) Limited. She also held Board memberships within the David Pieris Automotive cluster, Assetline Finance Limited, and various overseas subsidiary companies of the David Pieris Group.

Ms. Parakrama is also an lndependent Non-Executive Director of Vallibel One PLC.

Ms. Parakrama's academic credentials include a Bachelor of Arts in Liberal Arts from Smith College, USA, where she graduated Magna Cum Laude and was inducted into the prestigious Phi Beta Kappa Honor Society. She holds professional accreditations as a Credit & Risk Professional from both Standard Chartered Bank and American Express Bank.

ln addition to her corporate achievements, Ms. Parakrama contributes her expertise on a voluntary basis as a member of the Board of the Sri Lanka Alzheimer's Foundation.

Mr. Rajapaksha was appointed as Company Secretary on 1st April 2019. He joined the Bank on 7th February 2011 as the Assistant Company Secretary and counts over 16 years of experience in the field of Company Secretarial Practice.

Mr. Rajapaksha is an Associate of the Chartered Governance Institute, UK (formerly known as Institute of the Chartered Secretaries and Administrators, UK) and a Graduate of the Institute of Chartered Corporate Secretaries (ICCS) of Sri Lanka. He held the position of Assistant Company Secretary of the Bank from February 2011 to March 2019 prior to being appointed as the Company Secretary.

Mr. Rajapaksha currently serves as the Vice President of the Chartered Governance Institute, Sri Lanka Branch and he served as the Company Secretary of CBC Finance Ltd. from 2014 to 2019.
